REFUND AND CANCELLATION POLICY

This Refund and Cancellation Policy (“Policy”) outlines the terms under which “Tibicle LLP”  (“Company”, “we”, “us”, or “our”) provides refunds and processes subscription cancellations related to the use of our API development and integration platform “Roley” (“Platform” or “Services”). By subscribing to or using our Services, you agree to the terms of this Policy.

  1. No Refund Policy

    All payments made to Roley, including but not limited to subscription fees, user-based charges, overage charges, add-on purchases, API call credits, or other service fees, are non-refundable and non-creditable under any circumstances.

        • Scope of Non-Refund

          Refunds shall not be provided, regardless of the following situations:

          • You fail to use the Service after purchase.

          • You encounter incompatibility with your systems or third-party tools.

          • You experience technical issues or bugs that are not caused by gross negligence of the Company.

          • You change your business strategy, preferences, or no longer require the Service.

          • You accidentally select the wrong plan, make a duplicate payment, or forget to cancel auto-renewal.

          • Your account is suspended or terminated due to breach of our Terms of Service or other applicable agreements.

          • You subscribe during a promotion or discounted plan.

          • You use our platform via third-party integrations or partners.

      • Justification

        As our Services are provided in a digital, immediate access format consisting of online tools, developer environments, documentation interfaces, usage-based APIs, mock servers, and other cloud resources, you gain full access at the moment of purchase, which by nature makes refunds commercially and operationally infeasible.

  2. Subscription Billing and Renewals

      • Recurring Subscriptions

        Your selected plan (Free, Pro, Team, or Enterprise) may renew automatically at the end of each billing period (monthly or annually, depending on your selection). By purchasing a subscription, you authorize Roley or its third-party payment processor to charge your payment method on a recurring basis until you cancel.

      • Cancellation by User

        You may cancel your subscription at any time through your account dashboard. However:

        • Cancellations take effect at the end of the current billing cycle.

        • You will not receive any refund or pro-rata credit for the remaining
          time of your billing cycle.

        • After cancellation, you retain access to the Service until your billing cycle ends,
          unless terminated earlier for cause.

      • Upgrades and Downgrades

        If you upgrade to a higher plan, the new plan will be activated immediately, and the prorated fee difference will be charged.
If you downgrade, the lower-tier plan will take effect from the next billing cycle. No refund or credit will be issued for any unused features or remaining time in the higher-tier plan.

  3. Trial Periods and Promotional Access

    • Free Trials

      Where available, free trial periods are offered to help you evaluate the Services. Upon expiration of the trial, your selected subscription plan will commence, and your payment method will be charged automatically.

      • Once the trial ends and a paid subscription begins, no refunds will be issued under any circumstances

      • It is your responsibility to cancel the trial before it converts to a paid plan if you do not wish to be charged.

    • Promotional Credits

      Any promotional or bonus credits granted during signup or as part of a campaign have no monetary value, are non-refundable, and are valid only during the designated usage period.

  4. Usage-Based and Add-On Charges

    • Some plans may involve usage-based billing (e.g., API call overages, monitoring limits, mock server requests, storage capacity).

    • All such usage charges are automatically calculated and billed.

    • No refunds or adjustments shall be provided for unutilized add-ons or partially used capacity.

  5. Service Modifications and Downtime

    • We reserve the right to modify, suspend, or discontinue any feature or component of the Services at any time with or without notice.

    • No refunds shall be issued for temporary outages, planned maintenance, feature deprecation, or technical errors unless such failure is directly caused by gross negligence or willful misconduct of the Company and materially breaches the agreed Service Level Agreement (if any, under a separate Enterprise agreement).

  6. Chargebacks and Payment Disputes

    Initiating a chargeback or payment dispute without contacting our support team first may result in immediate termination or suspension of your account.

    • If you believe a charge has been made in error, please contact rjagani@tibicle.com within 7 (seven) days of the charge date.

    • We may, at our discretion, review the claim, but we are under no obligation to issue a refund.

  7. Exceptions

    This Policy applies to all customers, including individual developers, small teams, and enterprise clients, unless specifically overridden by a separately negotiated written agreement signed by both parties.

  8. Acceptance of This Policy

    By registering for, subscribing to, or otherwise using the Services, you acknowledge and confirm that:

    • You have read and understood this Refund and Cancellation Policy.

    • You agree to abide by its terms.

    • You waive any right to pursue refunds, reimbursements, or chargebacks to the maximum extent permitted under applicable laws.
